Pryvexa provides cloud-based finance automation software and related services designed to streamline business financial operations. Our services include automated invoicing, payment processing, expense management, financial analytics, and related business tools. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

All fees are non-refundable unless otherwise specified. We reserve the right to modify our pricing with reasonable advance notice. Failure to pay fees may result in service suspension or termination.
We implement industry-standard security measures to protect your data. However, you acknowledge that no system is completely secure. Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. All content, software, and materials provided through our services, including but not limited to text, graphics, logos, software code, and user interfaces, are the property of Pryvexa or our licensors and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of any data, content, or materials you upload to our platform. By using our services, you grant us a limited, non-exclusive licence to use, process, and store your content solely for the purpose of providing our services. You represent that you have the right to upload and use any content you provide to us.
We strive to maintain high service availability but cannot guarantee uninterrupted access. We may perform scheduled maintenance, updates, or emergency repairs that temporarily affect service availability. We will provide reasonable notice of planned maintenance whenever possible.
To the maximum extent permitted by law, Pryvexa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services. Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount paid by you for our services in the twelve months preceding the claim.
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be error-free, secure, or continuously available.
You agree to indemnify, defend, and hold harmless Pryvexa, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
Either party may terminate these Terms at any time with reasonable notice. We may immediately suspend or terminate your access to our services if you violate these Terms or engage in conduct that we determine is harmful to our business or other users. Upon termination, your right to use our services ceases immediately, and we may delete your account and data in accordance with our data retention policies.
We may modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will provide notice of material changes through our platform or by email. Your continued use of our services after such notice constitutes acceptance of the modified Terms.
These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.
We encourage you to contact us directly to resolve any disputes. If a dispute cannot be resolved through direct communication, you agree to participate in good faith mediation before pursuing formal legal proceedings.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
These Terms, together with our Privacy Policy and any additional service-specific terms, constitute the entire agreement between you and Pryvexa regarding your use of our services and supersede all prior agreements and understandings.
